1. The parties

These Terms & Conditions ("Terms") govern your use of the Accessibility & SEO Audit Scanner web application at audit-scan.app (the "Service"). The Service is provided by Audit-Scan.app ("we", "us", "our"). By creating an account or using the Service, you confirm that you are contracting with Audit-Scan.app and that you accept these Terms.

2. Authority to agree

If you are using the Service on behalf of a business, you confirm that you have the authority to bind that business to these Terms. If you are using it as an individual, you confirm that you are of legal age to form a binding contract.

3. Acceptance

By continuing to access or use the Service, you agree to these Terms. If you do not agree, you must stop using the Service.

4. The Service

Audit-Scan.app scans a URL you provide and reports potential accessibility, colour contrast, broken-link, structured-data, and SEO issues based on the page's initial HTML. Free accounts may run two scans per day. Paid plans allow a higher monthly scan volume. Results are informational guidance, not legal advice, and reflect the page at the time of the scan only.

5. Accounts and credentials

You must keep your account credentials confidential and are responsible for all activity under your account. You agree to provide accurate information when creating an account and to keep it updated. Notify us promptly of any unauthorised use of your account.

6. Acceptable use

You must not misuse the Service. Misuse includes, without limitation:

  • Using the Service for any unlawful purpose or in violation of any law;
  • Committing fraud, spam, or other deceptive activity;
  • Infringing the intellectual property or privacy rights of others;
  • Interfering with the security of the Service, including introducing malware, probing or scanning our infrastructure, scraping, or attempting to bypass rate limits or access controls;
  • Submitting URLs you do not have permission to scan or analyse;
  • Reselling or redistributing access to the Service without our written consent.

7. Your content

You retain ownership of any URLs and audit results you submit or generate ("User Content"). You grant Audit-Scan.app a limited, non-exclusive licence to store and process User Content solely to provide and improve the Service. You are responsible for ensuring you have the rights to submit any URL for scanning.

8. Intellectual property

Audit-Scan.app retains all rights, title, and interest in the Service and its intellectual property, including the software, documentation, branding, and the structure of the audit rules and reports. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

9. Restrictions

  • You may not reverse engineer, decompile, or disassemble any part of the Service.
  • You may not resell, sublicense, or redistribute access to the Service.
  • You may not circumvent usage limits, billing, or technical measures in the Service.

10. Service level

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that scan results will be accurate or complete. Results are guidance, not legal advice.

11. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paid plans renew automatically on the billing cycle you selected until you cancel. You can cancel at any time through the Billing page or by contacting Paddle; access continues until the end of the current paid period. Free-tier scans are limited to two per day and reset at midnight UTC.

12. Refunds

Our refund policy is set out in our Refund Policy. Refunds are processed by Paddle.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose. Audit findings are informational and are not legal advice and should not be relied upon as legal advice.

14. Limitation of liability

To the fullest extent permitted by law, Audit-Scan.app shall not be liable for any indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the six months before the event giving rise to the claim, or, for free users, to the greater of USD $50 or the minimum permitted by law. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence, where law does not allow such exclusion.

15. Indemnity

You agree to indemnify and hold Audit-Scan.app harmless from claims arising out of your User Content, your unlawful use of the Service, or your breach of these Terms.

16. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, or pose a security or fraud risk, or for repeated or serious violations of these Terms. You may stop using the Service at any time. On termination, we will provide a reasonable window to export your data, after which we may delete it in line with our Privacy Notice.

17. Changes to the Service and Terms

We may change or discontinue features of the Service from time to time. We may update these Terms by posting a revised version with a new "Last updated" date; material changes will be notified through the Service or by email. Continued use after changes are effective constitutes acceptance of the revised Terms.

18. Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or part of our business.

19. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, internet or hosting outages, and actions of third-party providers.

20. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Audit-Scan.app operates. Any dispute will be resolved in the courts of that jurisdiction, unless we agree otherwise in writing.
